This website is operated by Tournament Housing Services (“THS”, “we”, “us”, or “our”). THS provides a platform that facilitates the booking of hotel room blocks for youth sporting events and tournaments. Through our platform at www.thsweb.com, users, including tournament organizers, team managers, coaches, and parents, can reserve hotel accommodations with our hotel partners. THS offers this website, including all information, tools, and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here. Please read these Terms of Service carefully before accessing or using our website.

By visiting our site and/or making bookings through this site, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, tournament organizers, team managers, coaches, parents, and/or other visitors. By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any Services. A breach or violation of any of the Terms will result in an immediate termination of your Services.

Any new features or tools which are added to the current platform shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Our platform relies on certain third-party service providers, including hotel partners who provide accommodations, and Stripe, which manages payments made through the Services. THS acts as a booking facilitator and is not a direct provider of hotel accommodations.

02General Conditions

We reserve the right to refuse Service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Note that we do not process any payments directly and do not store or process any payment information, as payment processing is managed by a third-party vendor. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

03Accuracy, Completeness, and Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.

This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

04Modifications to the Service and Prices

Prices for services obtained through the Service are subject to change without notice, including changes to hotel rates made by our hotel partners. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

05Services

Certain Services may be available exclusively online through the website. Hotel room bookings made through the platform are subject to the terms, conditions, cancellation policies, and refund policies of the applicable hotel partner. It is your responsibility to review and understand the applicable hotel’s terms before completing a booking.

THS functions as an intermediary to connect users with hotel partners for room reservations in connection with youth sporting events and tournaments. THS is not a direct provider of hotel accommodations and is not a party to the hotel-guest relationship. As such, THS cannot guarantee the availability, quality, safety, or suitability of any hotel accommodations. All descriptions of accommodations, availability and pricing, including but not limited to fees associated with pools, restaurants, fitness centers, parking, resort fees, taxes, and other mandatory fees imposed by our hotel partners, are subject to change by the relevant hotel partner at any time without notice, at the sole discretion of the hotel. We reserve the right to discontinue or remove any listings at any time. Any offer for any Service made on this site is void where prohibited.

We do not warrant that the quality of any accommodations, Services, information, or other material obtained through the platform will meet your expectations, or that any errors in the Service will be corrected.

06Accuracy of Billing and Account Information

We reserve the right to refuse any booking you place through us. We may, in our sole discretion, limit or cancel reservations per person, per household, or per event. These restrictions may include bookings placed by or under the same customer account, the same credit card, and/or bookings that use the same billing address. In the event that we make a change to or cancel a booking, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the booking was made.

You agree to provide current, complete and accurate account information for all bookings made through the Service. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

07Optional Tools

As part of the provision of our Services, we integrate with and provide access to services offered by third-party providers, including hotel partners, payment processors, and other tools or plug-ins over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such third-party services ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of or reliance on any third-party services, including but not limited to the services provided by our hotel partners or payment processors.

Any use by you of third-party services accessed through the platform is entirely at your own risk and discretion. You should ensure that you are familiar with and approve of the terms on which such services are provided by the relevant third-party provider(s), including the terms, conditions, and policies of any hotel at which you book accommodations through our platform.

We may also, in the future, offer new Services and/or features through the website (including the integration of new tools, hotel partners, and resources). Such new features and/or Services shall also be subject to these Terms of Service.

08Third-Party Links

Our platform contains links to and integrations with third-party websites and services, including event registration websites and the websites and booking systems of our hotel partners, payment processors, and other service providers. These third-party services are independent of THS and maintain their own terms of service, privacy policies, booking conditions, and cancellation policies.

THS is not responsible for examining or evaluating the content, accuracy, policies, or practices of any third-party website or service, and we do not warrant and will not have any liability or responsibility for any third-party materials, websites, services, or accommodations. Users are solely responsible for reviewing and understanding the terms, conditions, and policies of any third-party, including hotel partners, before engaging in any transaction or booking through or in connection with our platform.

THS acts solely as a booking facilitator and is not a party to the contractual relationship between you and any hotel or third-party service provider. THS is not responsible for the acts, omissions, policies, practices, or conduct of any hotel or third-party service provider, including but not limited to: (a) the quality, safety, cleanliness, or suitability of hotel accommodations; (b) the accuracy of hotel descriptions, photographs, or representations; (c) the hotel’s compliance with applicable laws, health codes, or safety regulations; (d) any personal injury, property damage, or other harm arising during your hotel stay; or (e) any disputes regarding billing, cancellations, refunds, or overbooking by a hotel. Any issues with hotel accommodations, quality, safety, or service must be resolved directly with the hotel. Complaints, claims, concerns, or questions regarding hotel accommodations or other third-party services should be directed to the applicable hotel or third-party provider.

09User Feedback and Communications

If you send us feedback, suggestions, or other communications regarding our platform or Services, whether by email or otherwise (collectively, “feedback”), you agree that we may, at any time, without restriction, use such feedback to improve our platform and Services. We are and shall be under no obligation (1) to maintain any feedback in confidence; (2) to pay compensation for any feedback; or (3) to respond to any feedback.

We reserve the right to remove any content posted on our platform that we determine in our sole discretion to be unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable or that violates any party’s intellectual property or these Terms of Service.

You agree that any communications or submissions you make through the platform will not violate any right of any third-party, including copyright, trademark, privacy, or other personal or proprietary right. You further agree that your communications will not contain unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties. You are solely responsible for any communications you make through the platform and their accuracy.

11Errors, Inaccuracies, and Omissions

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to hotel descriptions, pricing, availability, or other service details. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel bookings if any information in the Service or on any related website is identified to be inaccurate at any time without prior notice (including for bookings that are in process).

We undertake no affirmative obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

12Prohibited Uses

You agree not to use the Service to: (a) Obstruct or hinder the use and enjoyment of the Service by other users; (b) violate any applicable local, state, national, and international laws and regulations; (c) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (d) interfere with or disrupt the Service or servers or networks connected to the Service, or defy any requirements, regulations or guidelines of networks connected to the Service; (e) transmit or otherwise make available any material in connection with surveys, chain letters, junk e-mail, spamming, contests, pyramid schemes, or any duplicative or unsolicited messages (commercial or otherwise); (f) upload, post, e-mail, transmit or otherwise make available any content that is unlawful, damaging, intimidating, hostile, offensive, harassing, defamatory, improper, obscene, vulgar, invasive of another’s privacy, caste related, ethnically or otherwise objectionable; (g) upload, post, e-mail, transmit or otherwise make available any content protected by any patent, trademark, copyright or other intellectual proprietary laws unless you own or control the rights thereto or have received all necessary consents to do the same; (h) upload files that contain viruses, worms, corrupted files or any other similar software or programs designed to disrupt, damage or limit the operation of any computer or telecommunications equipment or property of another; (i) “stalk” or otherwise harass other users; collect or store personal data about other users; (j) advertise, promote or offer to sell or buy any goods or services for any business purpose unless the Service specifically allows such messages or transactions; (k) reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion, use or access of the Service; or (l) conduct any activity that would aid or assist terrorism or related activity or would endanger U.S. military personnel.

THS has no obligation to observe and monitor the Service. However, THS reserves the right to review materials posted and to remove any material/s. THS also reserves the right to terminate your access to any or all of the Services, at any time, without notice, for any reason whatsoever.

THS reserves the right, subject to attorney-client privilege to the extent applicable and to the extent the same is not waived through these provisions, at all times to divulge any information as it considers necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part.

In view of the global nature of the World Wide Web, the User understands and agrees that technical processing of tools of communication is (and may be) required to send and receive messages, to correspond/conform to the technical requirements of connecting networks, to correspond/conform to the limitations of the Service, or to correspond/conform to other, similar technical requirements.

13User Account, Password, and Security

As part of the Service’s registration process you will provide us with current, complete and accurate information as requested by the registration form, including your e-mail address. You will then choose a password. You take total responsibility for maintaining the confidentiality of your password and account. You are also entirely responsible for any and all activities that occur under your account. You agree to notify THS immediately of any unlawful/unauthorized use of your account or any other security violation. You agree to ensure that you exit from your account at the end of each session. You understand that THS will not be liable for any loss or damage in any form incurred as a result of unauthorized usage of your account, with or without your knowledge. However, you could be held liable for losses or damages incurred by THS or a third party as a result of your failure to comply with this clause. You also agree not to use anyone else’s account, at any time, without the prior permission of the account holder.

14Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.

You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all Services delivered to you through the Service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. Without limiting the foregoing, THS makes no warranties or representations regarding the quality, safety, cleanliness, suitability, or condition of any hotel accommodations booked through the platform, or the accuracy or completeness of any hotel descriptions, photographs, ratings, or reviews available on or through the platform. THS does not guarantee the performance, conduct, or reliability of any hotel partner or third-party service provider.

In no case shall THS, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any accommodations booked through the Service, or for any other claim related in any way to your use of the Service, including, but not limited to, any errors or omissions in any content, any loss or damage of any kind incurred as a result of the use of the Service or any content posted, transmitted, or otherwise made available via the Service, or any issues arising from hotel accommodations including but not limited to quality, safety, cleanliness, or service deficiencies, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

15Indemnification

You agree to indemnify, defend and hold harmless THS and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

16Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

17Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

18Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

19Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of New Jersey, without respect to its applicable principles of conflicts of laws that might require the application of laws of another jurisdiction. You agree that all disputes related to the booking of accommodations through this website or related to these Terms of Service or our Privacy Policy must be brought in the state or federal courts sitting in the State of New Jersey.
